EdEHR Terms and Conditions

Please read these Terms and Conditions carefully before using the EdEHR website and Services. By accessing the Service, you agree to be bound by the terms outlined below.

This document explains the terms for Services provided by EdEHR Technologies Inc. ("EdEHR", "we", "our") via https://edehr.org and all subdomains.

Definitions

• Affiliate means an entity that controls, is controlled by, or is under common control with a party.
• Company refers to EdEHR Technologies Inc., Victoria, British Columbia, Canada (also "we", "us").
• Device means any device capable of accessing the Service such as a computer, phone, or tablet.
• Service refers to the EdEHR website and platform.
• Terms and Conditions ("Terms") means this agreement between you and the Company.
• Website refers to EdEHR, accessible from https://edehr.org.
• You refers to the individual or institution using the Service.

Interpretation and acknowledgment

These Terms govern your use of the Service and set out the rights and obligations of all users. Your access to the Service is conditioned on your acceptance of these Terms, our Privacy Policy, and, where AI features are in use, our AI Policy. If you disagree with any part, you must not use the Service.

Institutional agreements

Where an institution accesses the Service under a separate written agreement with EdEHR (for example, a Software as a Service Agreement), that agreement governs the institution's use and prevails over these Terms in the event of any conflict, as between EdEHR and the institution.

Ownership and content

The EdEHR platform, including all software, design, and associated intellectual property, is owned by EdEHR Technologies Inc. These Terms do not transfer any ownership rights to you.

You retain ownership of educational content and coursework you or your institution create within the Service, including case studies, assignments, and instructor feedback. By using the Service, you grant EdEHR a limited, non-exclusive licence to host, process, and transmit that content solely for the purpose of providing the Service.

Where content is contributed under a Creative Commons or similar open licence, that licence — not these Terms — governs how the content may be reused by others.

Acceptable use

The EdEHR platform is a training and educational tool intended to host simulated, fictitious patient data. You must not:

• enter, upload, or store any real patient health records, actual protected health information, or other real individual health data;
• use the Service in violation of applicable law;
• interfere with or disrupt the integrity or performance of the Service;
• attempt to gain unauthorized access to the Service or related systems;
• reverse engineer, decompile, or attempt to derive source code from the Service; or
• use the Service to harass, defame, or harm others.

You are responsible for ensuring your use of the Service remains consistent with these Terms.

Links to other websites

The Service may contain links to third-party websites or services not owned or controlled by EdEHR. We have no responsibility for the content, privacy policies, or practices of any third-party sites and will not be liable for any damage or loss caused by their use. Review the terms and privacy policies of any third-party websites you visit.

Termination

We may terminate or suspend your access immediately, without prior notice, for any reason including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Where an institutional agreement governs your use of the Service (see "Institutional agreements" above), the termination provisions of that agreement apply instead.

Limitation of liability

Regardless of any damages you might incur, the entire liability of EdEHR and its suppliers under any provision of these Terms and your exclusive remedy shall be limited to the amount actually paid by you through the Service or CAD $100 if you have not made a purchase. To the fullest extent permitted by law, EdEHR and its suppliers shall not be liable for indirect, incidental, special, or consequential damages (including loss of profits, data, or goodwill) arising from the use or inability to use the Service.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so these limitations may not apply to you. In such cases, liability will be limited to the maximum extent permitted by law.

"As is" and "as available" disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis with all faults and defects. EdEHR and its providers expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no guarantees that the Service will meet your requirements, operate without interruption, or be error-free.

Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply. In such cases, they will apply to the greatest extent permitted by law.

Governing law

The laws of British Columbia, Canada, excluding its conflict of law rules, govern these Terms and your use of the Service. Your use may also be subject to other local, provincial, national, or international laws.

Dispute resolution

If you have any dispute or concern regarding the Service, you agree to first attempt to resolve the issue informally by contacting EdEHR.

Regional considerations

• European Union consumers benefit from any mandatory provisions of the law in their country of residence.
• You warrant that you are not located in a country subject to Canadian or international sanctions, and that you are not on any applicable government sanctions list.

Severability and waiver

If any provision of these Terms is held unenforceable, that provision will be modified and interpreted to accomplish its objective to the greatest extent possible, while the remaining provisions remain in effect. Failure to enforce any provision will not be considered a waiver of EdEHR's rights.

Translation interpretation

The Terms may have been translated for convenience. In the event of a dispute, the original English text will prevail.

Changes to these Terms

We reserve the right to update these Terms at any time. If a change is material, we will provide reasonable notice (when feasible) at least 30 days before new terms take effect. Continued use of the Service after revisions become effective means you accept the updated Terms. If you do not agree with the new terms, discontinue use of the Service.
